Welcome to Valente Group! These Terms and Conditions ("Terms") govern your access to and use of our mobile application and related services (collectively, "the Service"), which provides real-time family location sharing, driving reports, and safety alerts for peace of mind. By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you confirm your agreement to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and Valente Group, located at 1475 Riverbend Drive, Suite 100, San Jose, CA, 95134, en-US.
2. The Service
Our Service provides a family safety app offering features such as real-time location sharing, creation of "Circles" for groups of people, location alerts, driving safety reports (e.g., speed, phone usage), and SOS alerts for emergency situations. The Service is intended to promote communication and safety within families and trusted groups.
- Location Sharing: The core functionality of our Service relies on precise location data. You understand and agree that by enabling location sharing, your location may be visible to members of your authorized Circles.
- Driving Reports: This feature collects data related to driving behavior. You consent to the collection and analysis of such data for the purpose of providing these reports.
- SOS Alerts: In an emergency, an SOS alert can be sent to your designated contacts. While we strive for reliability, we cannot guarantee immediate delivery or response times for emergency services.
3. User Accounts and Eligibility
To use most features of the Service, you must register for an account. You must be at least 13 years old to use the Service. If you are under 18, you must have permission from a parent or legal guardian to use the Service. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
- You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
- You agree not to register for more than one account, or register for an account on behalf of an individual other than yourself, without their express permission.
4. Prohibited Conduct
You agree not to use the Service for any unlawful or prohibited activities, including but not limited to:

- Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
- Attempting to gain unauthorized access to our site, other user accounts, or computer systems or networks connected to our site.
- Using the Service to monitor individuals without their explicit consent, except for minor children by their parents or legal guardians.
5. Intellectual Property
All content, features, and functionality on our online platform (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Valente Group, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Valente Group disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.
7. Limitation of Liability
In no event will Valente Group, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, our online platform, any websites linked to it, any content on our online platform or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.
8. Indemnification
You agree to defend, indemnify, and hold harmless Valente Group, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Contributions, any use of our online platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from our online platform.
9. Governing Law and Jurisdiction
All matters relating to the Service and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the City of San Jose and County of Santa Clara, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.
